Terms and Conditions of Use
The agreement between you and Amerus LLC covering your licence to use Amerus, your responsibilities, and the limits of what Amerus can do.
These Terms and Conditions of Use (“Terms”) govern the download, installation, access to, and use of the Amerus application and related software, features, updates, documentation, and services (collectively, “Amerus”) provided by Amerus LLC, a Florida limited liability company (“Amerus LLC,” “Company,” “we,” “us,” or “our”).
By downloading, installing, accessing, or using Amerus, or by electronically accepting these Terms, each person or entity using Amerus (“User” or “you”) agrees to be bound by these Terms and any applicable privacy policy, license terms, purchase terms, or supplemental agreements expressly incorporated into these Terms (collectively, the “Applicable Agreements”).
If you do not agree to these Terms, you may not download, install, access, or use Amerus.
1. AMERUS AND ITS LOCAL-FIRST DESIGN
1.1 Personal, Locally Operated Artificial Intelligence
Amerus is a personal artificial intelligence application structurally designed to reside and operate locally on the User’s computer or other authorized device (“Device”).
Unlike cloud-based artificial intelligence services, the core Amerus artificial intelligence system, User Content, locally stored knowledge, conversations, memories, and related information are designed to remain on the User’s Device and to be processed locally.
1.2 Local Processing and Privacy
Except when a User affirmatively initiates, enables, or authorizes a function that requires external communication, User prompts, conversations, documents, files, locally stored memories, settings, knowledge, and other content processed by Amerus remain on the User’s Device and are not transmitted to Amerus LLC or to an externally hosted artificial intelligence model for processing.
Amerus LLC does not use locally processed User Content to train shared, public, or externally hosted artificial intelligence models.
1.3 User-Directed External Communications
Certain functions may require or permit an internet connection or communication with third parties. These may include, without limitation:
- (a) initial download or installation of Amerus;
- (b) downloading artificial intelligence models, reference materials, or other content;
- (c) software, security, or model updates;
- (d) license or subscription verification;
- (e) retrieving information that the User has stored with a third party;
- (f) accessing websites, external information sources, connected accounts, or integrations;
- (g) downloading information requested by the User;
- (h) sending, sharing, exporting, or transmitting information at the User’s direction; or
- (i) other optional connected functionality.
When the User affirmatively uses or enables such functionality, information necessary to perform the requested action may leave the Device. Such transmissions may also become subject to the terms, security practices, and privacy policies of the applicable third party.
1.4 Offline Operation
Amerus is designed so that its core locally installed artificial intelligence functionality can operate without a continuous internet connection after required software, models, and other necessary resources have been installed.
Amerus LLC does not, however, warrant that every feature will operate offline. Internet connectivity may be required for installation, activation, updates, downloading information, connected services, integrations, or other functionality that inherently requires communication outside the Device.
2. LICENSE TO USE AMERUS
2.1 Limited License
Subject to these Terms and payment of any applicable fees, Amerus LLC grants User a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to install and use Amerus on the number and type of Devices authorized by the User’s applicable license or subscription.
2.2 Restrictions
Except as expressly permitted by applicable law or by Amerus LLC in writing, User may not:
- (a) copy, distribute, sell, sublicense, lease, rent, or commercially redistribute Amerus;
- (b) reverse engineer, decompile, disassemble, circumvent, or attempt to derive Amerus source code;
- (c) circumvent licensing, security, usage, or technical restrictions;
- (d) modify or create unauthorized derivative works of Amerus;
- (e) remove proprietary notices, trademarks, or copyright notices;
- (f) make Amerus available to unauthorized third parties; or
- (g) use Amerus in violation of applicable law.
2.3 Ownership of Amerus
Amerus is licensed, not sold. Except for the limited license expressly granted under these Terms, Amerus LLC and its licensors retain all right, title, and interest in and to Amerus and its underlying software, architecture, designs, interfaces, documentation, trademarks, trade secrets, inventions, and other intellectual property.
3. ELIGIBILITY AND USER RESPONSIBILITY
User must be at least eighteen (18) years of age and legally capable of entering into a binding agreement, unless Amerus LLC expressly permits use by a minor under the supervision and responsibility of a parent or legal guardian.
User is responsible for:
- (a) maintaining control and security of the Device on which Amerus is installed;
- (b) maintaining passwords, credentials, encryption, and other security measures;
- (c) determining who is permitted to access Amerus and User Content;
- (d) maintaining the Device and its operating system;
- (e) maintaining sufficient storage and computing capacity; and
- (f) all activity conducted through User’s copy of Amerus.
4. USER CONTENT BELONGS TO THE USER
4.1 User Content
“User Content” means information supplied to, created through, maintained within, or stored for the User through Amerus, including documents, photographs, files, prompts, conversations, locally stored memories, notes, personal information, knowledge collections, and other materials.
As between Amerus LLC and User, User retains ownership of User Content.
4.2 AI Outputs
To the extent permitted by applicable law, Amerus LLC claims no ownership interest in responses, summaries, analyses, documents, images, recommendations, or other outputs generated by Amerus specifically for User from User’s use of Amerus (“AI Outputs”).
User may use AI Outputs for lawful purposes subject to these Terms and any rights of third parties applicable to source materials incorporated into or used to generate an AI Output.
4.3 No License for AI Training
Use of Amerus does not grant Amerus LLC permission to use locally stored User Content to train a shared or externally hosted artificial intelligence model.
5. LOCAL STORAGE; NO EXTERNAL BACKUP; RISK OF DATA LOSS
5.1 Local Storage
Amerus is designed to maintain its system information and User Content locally on the User’s Device.
Unless expressly identified otherwise with respect to a specific optional service, Amerus LLC does not maintain a remote or cloud-based copy or backup of the User’s Amerus system, files, documents, conversations, prompts, memories, settings, locally stored knowledge, AI Outputs, or other User Content.
5.2 The Local Copy May Be the Only Copy
Unless User independently creates or enables a backup, the information stored on User’s Device may be the only copy that exists.
Amerus LLC does not automatically transmit User Content to its servers for backup and ordinarily has no external copy from which lost User Content can be recovered.
5.3 User Responsibility for Backups
User is solely responsible for establishing and maintaining any backup User considers appropriate.
User may elect to create backups through external drives, network storage, operating-system backup systems, cloud-storage providers, or other methods selected by User. Any such backup is created and controlled by User and is not part of Amerus unless expressly stated otherwise.
If User elects to store or back up User Content using a third-party service, that information may leave the Device and will be subject to the terms and security and privacy practices of the third party selected by User.
5.4 Risk of Permanent Loss
LOSS, THEFT, DAMAGE, FAILURE, CORRUPTION, RESET, REPLACEMENT, OR DESTRUCTION OF THE USER’S DEVICE OR STORAGE MEDIA, OR DELETION OR CORRUPTION OF AMERUS OR USER CONTENT, MAY RESULT IN THE PERMANENT AND IRRECOVERABLE LOSS OF SOME OR ALL USER CONTENT.
AMERUS LLC MAY HAVE NO COPY OF THAT INFORMATION AND MAY HAVE NO TECHNICAL ABILITY TO RETRIEVE, RESTORE, OR RECOVER IT.
User knowingly accepts the risks associated with maintaining information locally and is responsible for implementing backup and recovery practices appropriate for the importance of User’s information.
6. PRIVACY, SECURITY, AND SENSITIVE INFORMATION
6.1 Privacy Through Local Operation
Amerus’s local architecture is intended to allow Users to work with personal, confidential, proprietary, or sensitive information without routinely transmitting that information to Amerus LLC or an external AI model.
Amerus LLC will not access, collect, disclose, sell, or use locally stored User Content merely because User uses Amerus, except as expressly authorized by User, required to provide a User-requested connected service, or otherwise disclosed in an Applicable Agreement.
6.2 No Absolute Security Guarantee
Local operation materially reduces certain risks associated with transmitting information to remote artificial intelligence services, but it does not eliminate all security risks.
Information may be exposed through theft or loss of the Device, malware, unauthorized access, weak passwords, compromised operating systems, User-authorized integrations, User-created backups, third-party software, or other circumstances outside Amerus LLC’s reasonable control.
Amerus LLC therefore does not warrant that User Content can never be accessed, lost, corrupted, or disclosed.
6.3 Device Security
User is responsible for selecting and maintaining appropriate Device security, including passwords, encryption, physical security, operating-system updates, malware protection, and backups appropriate for User’s circumstances.
7. ARTIFICIAL INTELLIGENCE OUTPUTS
7.1 Nature of AI
Amerus uses artificial intelligence technologies to generate responses, recommendations, summaries, analyses, content, and other AI Outputs.
Artificial intelligence is probabilistic and may produce incorrect results.
7.2 Accuracy
AI Outputs may be inaccurate, incomplete, outdated, misleading, internally inconsistent, or inappropriate for a particular purpose.
User is solely responsible for reviewing and verifying AI Outputs before relying upon them or taking action based upon them.
7.3 Offline Information May Not Be Current
Because Amerus is designed to operate locally and offline, information available to its local artificial intelligence model or knowledge resources may not reflect current events, subsequent changes in law, medical guidance, prices, regulations, technical standards, safety recommendations, or other developments occurring after the applicable information was created or downloaded.
User is responsible for determining whether current information is required for a particular decision.
8. PROFESSIONAL, SAFETY, AND EMERGENCY INFORMATION
Amerus is a general-purpose informational and artificial intelligence tool. It is not a physician, attorney, accountant, financial adviser, engineer, emergency responder, or other licensed professional.
Information provided through Amerus is not a substitute for professional advice when professional advice is appropriate.
User should independently verify information before relying upon Amerus in connection with medical care, medications, legal rights, financial decisions, engineering, electrical work, mechanical work, food or water safety, navigation, emergency preparedness, survival activities, or other matters involving material risk to persons or property.
Amerus should not be relied upon as a substitute for emergency services or qualified emergency personnel when such services are available.
9. OFFLINE AND EMERGENCY AVAILABILITY
Amerus is designed to provide meaningful functionality locally and without continuous access to the internet. This design may make Amerus useful when internet, communications, cloud services, or other infrastructure is unavailable.
However, Amerus LLC does not guarantee that Amerus or any Device will remain operational during an emergency, power outage, communications outage, natural disaster, equipment failure, or other event.
Operation may depend upon factors outside Amerus LLC’s control, including Device condition, battery or electrical power, storage integrity, operating-system functionality, hardware condition, previously downloaded models and information, and User maintenance.
User is responsible for determining whether separate emergency resources, printed materials, backup power, communications systems, or other redundancies are appropriate.
10. THIRD-PARTY SOFTWARE, MODELS, CONTENT, AND SERVICES
Amerus may interact with or incorporate third-party software, open-source components, artificial intelligence models, databases, reference materials, websites, APIs, integrations, or other content or technology.
Third-party materials may be governed by separate licenses or terms.
Amerus LLC does not control and does not warrant the accuracy, completeness, continued availability, security, legality, or suitability of third-party content or services.
Amerus LLC may add, remove, replace, or modify third-party technologies or supported integrations when reasonably necessary to maintain, improve, secure, or develop Amerus.
11. UPDATES AND CHANGES
Amerus LLC may provide updates, patches, security improvements, model updates, new features, modifications, or replacement versions of Amerus.
Updates may change functionality, system requirements, interfaces, performance, or compatibility.
Amerus LLC may discontinue support for older versions when reasonably necessary for security, compatibility, technical, commercial, or operational reasons.
User acknowledges that failure to install available updates may affect security, functionality, compatibility, or performance.
12. PURCHASES, SUBSCRIPTIONS, AND PAYMENTS
Certain versions or features of Amerus may require a one-time purchase, subscription, license fee, or other payment.
Pricing, license duration, included functionality, authorized Devices, renewal terms, and other purchase conditions will be disclosed at or before purchase.
Where a subscription automatically renews, User authorizes renewal charges until the subscription is canceled in accordance with the applicable purchase terms.
Amerus LLC may change future pricing upon reasonable notice. Changes will not retroactively increase fees already paid for a completed license period.
Payments may be processed through third-party payment providers. Amerus LLC need not directly maintain complete payment-card information when transactions are processed by such providers.
User is responsible for applicable taxes except taxes imposed directly upon Amerus LLC’s income.
13. ACCEPTABLE USE
User shall use Amerus only for lawful purposes.
User may not use Amerus to:
- (a) violate applicable law;
- (b) infringe intellectual property, privacy, or other rights of another person;
- (c) distribute malware or malicious code;
- (d) gain unauthorized access to another person’s computer, account, information, or systems;
- (e) circumvent Amerus licensing or security controls;
- (f) impersonate another person for unlawful or fraudulent purposes; or
- (g) intentionally interfere with the operation, security, or integrity of Amerus.
14. INTELLECTUAL PROPERTY
All Intellectual Property Rights in Amerus itself, including its software, source code, object code, architecture, interface, design, documentation, trademarks, trade names, logos, inventions, patents, patent applications, know-how, and proprietary technology, are and shall remain the exclusive property of Amerus LLC or its applicable licensors.
Nothing in these Terms transfers ownership of Amerus to User.
Conversely, except as expressly provided herein, nothing in these Terms transfers User’s ownership of User Content to Amerus LLC.
15. WARRANTIES AND DISCLAIMERS
TO THE MAXIMUM EXTENT PERMITTED BY LAW, AMERUS IS PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE.
AMERUS LLC DISCLAIMS ALL IMPLIED WARRANTIES, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT TO THE EXTENT SUCH WARRANTIES MAY LAWFULLY BE DISCLAIMED.
Amerus LLC does not warrant that:
- (a) Amerus will operate without interruption or error;
- (b) all AI Outputs will be accurate or complete;
- (c) Amerus will meet every User requirement;
- (d) Amerus will remain compatible with every Device or operating system;
- (e) locally stored information will never be lost or corrupted;
- (f) a Device will remain operational during an emergency;
- (g) third-party content will remain available or accurate; or
- (h) every feature will operate without internet access.
Some jurisdictions do not permit exclusion of certain implied warranties, in which case applicable exclusions shall apply only to the maximum extent permitted by law.
16. LIMITATION OF LIABILITY
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, AMERUS LLC AND ITS AFFILIATES, MEMBERS, MANAGERS, OFFICERS, EMPLOYEES, CONTRACTORS, AGENTS, LICENSORS, AND REPRESENTATIVES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES, INCLUDING LOST PROFITS, LOST REVENUE, BUSINESS INTERRUPTION, LOSS OF GOODWILL, LOSS OF DATA, LOSS OF USER CONTENT, OR COST OF REPLACEMENT OR RECOVERY.
Without limiting the foregoing, Amerus LLC shall not be liable for losses arising from:
- (a) reliance upon AI Outputs;
- (b) inaccurate or outdated information;
- (c) failure to maintain backups;
- (d) loss, theft, failure, corruption, or destruction of a Device;
- (e) loss or corruption of User Content;
- (f) User-authorized transmission of information;
- (g) third-party software, models, services, integrations, or content;
- (h) interruption of electrical power, internet access, or other infrastructure; or
- (i) unauthorized access resulting from circumstances outside Amerus LLC’s reasonable control.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE TOTAL AGGREGATE LIABILITY OF AMERUS LLC ARISING FROM OR RELATED TO AMERUS OR THESE TERMS SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT ACTUALLY PAID BY USER TO AMERUS LLC FOR AMERUS DURING THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM OR (B) ONE HUNDRED U.S. DOLLARS ($100).
The limitations contained in this Section apply regardless of the legal theory asserted and even if Amerus LLC has been advised of the possibility of such damages.
17. INDEMNIFICATION
To the extent permitted by applicable law, User shall indemnify, defend, and hold harmless Amerus LLC and its affiliates, members, managers, officers, employees, agents, contractors, licensors, representatives, successors, and assigns from claims, liabilities, losses, damages, penalties, costs, and reasonable attorneys’ fees arising from:
- (a) User’s unlawful use of Amerus;
- (b) User’s material breach of these Terms;
- (c) User Content that infringes or violates another person’s rights;
- (d) User’s intentional misconduct or gross negligence; or
- (e) User’s unauthorized distribution, modification, or commercial exploitation of Amerus.
18. TERMINATION AND UNINSTALLATION
User may stop using Amerus and uninstall it at any time, subject to any applicable purchase or subscription terms.
Amerus LLC may terminate or restrict a license for material violation of these Terms, non-payment of applicable fees, unlawful use, circumvention of licensing restrictions, or as otherwise permitted by applicable law.
Termination of a license, cancellation of a subscription, or uninstallation of Amerus does not mean that Amerus LLC possesses a copy of User Content or can delete User Content from User’s Device.
User is responsible for exporting, preserving, backing up, or securely deleting locally stored User Content.
Uninstalling Amerus, erasing the Device, deleting associated storage, or reinstalling an operating system may result in permanent loss of User Content.
19. GOVERNING LAW; VENUE; JURY TRIAL WAIVER
These Terms and any dispute arising from or relating to Amerus shall be governed by the laws of the State of Florida, without regard to conflict-of-law principles.
To the extent permitted by applicable law, User and Amerus LLC consent to the exclusive jurisdiction and venue of the appropriate state or federal courts located in Sarasota County, Florida for any dispute arising from or relating to Amerus or these Terms.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, USER AND AMERUS LLC EACH KNOWINGLY AND VOLUNTARILY WAIVE ANY RIGHT TO TRIAL BY JURY IN ANY ACTION OR PROCEEDING ARISING FROM OR RELATING TO THESE TERMS OR AMERUS.
Nothing in this Section prevents either party from seeking temporary or injunctive relief from a court of competent jurisdiction to protect intellectual property, confidential information, security, or other rights for which monetary damages would provide an inadequate remedy.
In any action arising out of or relating to these Terms, the prevailing party shall be entitled to recover its reasonable attorneys’ fees and costs to the extent permitted by applicable law.
20. CHANGES TO THESE TERMS
Amerus LLC may modify these Terms from time to time to reflect changes in Amerus, applicable law, security requirements, or business practices.
For material changes applicable to an ongoing paid subscription or license, Amerus LLC will provide reasonable notice through Amerus, email, its website, or another reasonable method.
Continued use of Amerus after the effective date of revised Terms constitutes acceptance of those revised Terms to the extent permitted by applicable law.
21. MISCELLANEOUS
21.1 Entire Agreement
These Terms and the Applicable Agreements constitute the entire agreement between User and Amerus LLC regarding User’s use of Amerus and supersede prior agreements or understandings concerning the same subject matter.
21.2 Assignment
User may not assign or transfer these Terms or an Amerus license except as expressly permitted by Amerus LLC.
Amerus LLC may assign these Terms in connection with a merger, acquisition, financing, reorganization, sale of substantially all relevant assets, or transfer to an affiliate or successor.
21.3 Severability
If any provision of these Terms is determined to be invalid or unenforceable, it shall be enforced to the maximum extent legally permissible, and the remaining provisions shall remain in effect.
21.4 Waiver
Failure to enforce a provision of these Terms shall not constitute a waiver of that provision or any other provision.
21.5 No Agency
These Terms do not create an agency, partnership, employment relationship, fiduciary relationship, franchise, or joint venture between User and Amerus LLC.
21.6 Export Compliance
User shall comply with applicable export-control, sanctions, and trade laws in connection with User’s use or transfer of Amerus.
21.7 Headings
Section headings are provided for convenience and do not affect interpretation.
21.8 Survival
Provisions that by their nature should survive termination, including provisions concerning ownership, User Content, intellectual property, disclaimers, limitations of liability, indemnification, dispute resolution, and miscellaneous provisions, shall survive termination.
21.9 Electronic Acceptance
User acknowledges and agrees that clicking an acceptance box, selecting “I Agree,” completing installation after being presented with these Terms, or otherwise electronically accepting these Terms constitutes User’s valid electronic acceptance and has the same legal effect as a handwritten signature to the extent permitted by applicable law.

Questions concerning these Terms may be submitted using the contact information provided by Amerus LLC within Amerus or on the official Amerus website.
Formal legal notices to Amerus LLC shall be delivered to the legal or registered business address designated by Amerus LLC.
BY DOWNLOADING, INSTALLING, ACCESSING, OR USING AMERUS AFTER BEING PRESENTED WITH THESE TERMS, USER ACKNOWLEDGES THAT USER HAS READ, UNDERSTANDS, AND AGREES TO THESE TERMS AND CONDITIONS OF USE.
